1 Definitions
In these Terms and Conditions, the following words and phrases have the meanings set out below.
2 About AngelPass
AngelPass is a trading name of AngelPass, registered in England and Wales at 124 City Road, London EC1V 2NX.
We are registered with the Information Commissioner's Office (ICO) under registration number C1969537.
AngelPass is a technology and escrow service. We are not a solicitor, a financial adviser, a will writer, or a regulated estate administration service. Nothing in our service or communications constitutes legal or financial advice.

3 The service
3.1 What AngelPass provides
AngelPass provides the following:
- Supply of a hardware-encrypted USB Drive (via the Setup Fee).
- Generation of a unique USB Password to protect the Drive.
- Storage of the USB Password in escrow under split custody (half in AWS Secrets Manager, half with our Solicitor Partner).
- Issuance of a unique Authentication Code to you.
- Processing of a verified Death Claim to release the USB Password to your Nominated Person.
3.2 What AngelPass does not provide
AngelPass does not:
- See, access, store, or take any responsibility for the Content on your USB Drive.
- Provide legal advice, will writing, estate administration, or probate services.
- Provide financial advice.
- Act as an executor or administrator of your estate.
- Guarantee the completeness or accuracy of the Content you choose to store.
- Verify the identity of the account holder beyond reasonable due diligence at sign-up.
3.3 Service availability
We aim to maintain the Escrow Service at all times. However, we cannot guarantee uninterrupted availability and we may need to suspend the service for maintenance, upgrades, or reasons beyond our control. We will give you as much advance notice as reasonably practicable of any planned maintenance. Unplanned outages will be communicated as quickly as possible.
Any service suspension does not affect our obligations in relation to Death Claims, which are handled as a priority at all times.
4 Placing an order
4.1 Eligibility
To purchase AngelPass, you must be aged 18 or over and resident in the United Kingdom. By placing an order, you confirm that you meet these requirements.
4.2 The order process
When you place an order on our website, you are making an offer to purchase the selected plan. A contract between us is formed when we send you an order confirmation email. We reserve the right to decline any order, in which case we will notify you and issue a full refund of any payment taken.
4.3 Cooling-off period
Under the Consumer Contracts Regulations 2013, you have the right to cancel your order within 14 calendar days of receiving your USB Drive (the "cooling-off period") without giving a reason. If you cancel within this period, we will issue a full refund within 14 days.
We extend this statutory right to 30 days as part of our money-back guarantee. See Section 11 for full cancellation and refund terms.
4.4 Accuracy of information
You are responsible for ensuring that the information you provide when placing an order — including your name, address, and email address — is accurate and complete. We cannot be responsible for delays or failures arising from incorrect information provided by you.
5 Pricing & payment
5.1 Prices
All prices are shown in pounds sterling (GBP) and include VAT where applicable. Current prices are set out on our Pricing page. We reserve the right to change our prices. Any price change will be communicated to you at least 30 days before it takes effect and will not affect your current subscription period.
5.2 Setup Fee
The Setup Fee is a one-off, non-refundable payment (after the cooling-off period) that covers the physical USB Drive, its encryption configuration, and delivery to your address. It is payable at the time of purchase.
5.3 Annual Subscription
The annual Subscription is payable in advance and covers the Escrow Service for one year from the date of purchase. Subscriptions renew automatically unless cancelled. We will send you a renewal reminder at least 30 days before your renewal date.
5.4 Lifetime Plan
The Lifetime Plan is a one-off payment (in addition to the Setup Fee) that covers the Escrow Service indefinitely. It does not require annual renewal. The Lifetime Plan is subject to our business continuity obligations set out in Section 14.
5.5 Payment processing
Payments are processed securely by Stripe, Inc. We do not store your full payment card details. By providing your payment details, you authorise us to charge the applicable fees. If a payment fails, we will notify you and give you a reasonable opportunity to update your payment method before any service interruption.
5.6 Additional charges
The following optional additional charges may apply:
- Authentication Code re-issuance: £10–15 administration fee where re-issuance is requested during your lifetime.
- Additional Nominated Persons (Essential plan): £10 per year per additional nominee beyond the one included.
- Expedited Death Claim (non-Premium): £25 for priority 5-day processing where the standard plan applies.
- USB Drive replacement: Charged at cost plus postage. Current pricing available on request.
6 Delivery
6.1 UK delivery
We deliver USB Drives to addresses within the United Kingdom only. Delivery is free of charge on all plans. Drives are dispatched within 3 Working Days of your order being confirmed, and typically arrive within 5–7 Working Days via tracked post. Occasional delays in shipment can occur and all delivery dates and timeframes provided on AngelPass are estimates only and are provided for guidance.
6.2 Risk and ownership
Risk in the USB Drive passes to you on delivery. Ownership passes to you on receipt of full payment of the Setup Fee.
6.3 Failed delivery
If delivery is attempted and fails, our courier will leave a notification card. If the item is not collected within the courier's holding period, it will be returned to us. We will contact you to arrange redelivery. We reserve the right to charge a redelivery fee where failed delivery results from information you provided being incorrect.
6.4 Damaged or defective drives
If your USB Drive arrives damaged or defective, contact us within 14 days of receipt and we will arrange a free replacement. This does not affect your statutory rights under the Consumer Rights Act 2015.
6.5 Limitation of Liability for Delays
AngelPass shall not bre laible for any losses, costs, damages, charges, or expenses, but not limited to, caused dirrectly or indirectly by any delay in the delivery of the products .
7 Your account
7.1 No online account portal
AngelPass does not provide a customer-facing online account portal, login, or dashboard. There is no username or password for you to create or manage. Your account exists in our secure internal systems, managed by AngelPass staff on your behalf.
This is a deliberate design choice. It eliminates the security risks associated with customer-held login credentials — including password reuse, phishing, and account takeover — and keeps the service as simple as possible for you to use.
7.2 Managing your account
All account management requests — including changes to your contact details, subscription, or nominated person — are handled by our team. You may contact us at any time by:

We will acknowledge all account requests within one Working Day and aim to complete them within three Working Days.
7.3 Identity verification for account changes
To protect your account, we verify your identity before making any changes. The level of verification required depends on the nature of the request:
- Standard requests (change of address, subscription change, cancellation): verified by matching your full name and registered email address.
- Higher-risk requests (re-issuance of Authentication Code, change of nominated person): verified by matching your full name, registered email address, and date of birth. We will send a confirmation to your registered email address before proceeding.
We may ask for additional information where we have reason to believe a request may not be genuine. We will never action a request that we cannot satisfactorily verify.
7.4 Keeping your details current
You are responsible for keeping your contact details accurate and up to date. If your email address or postal address changes, please let us know as soon as possible. We cannot be responsible for failures to reach you arising from outdated contact information.
7.5 Authentication Code
Your Authentication Code is issued to you at setup and is unique to your account. It is sent to you by post on a physical card. You are solely responsible for keeping it safe and for passing it to whoever you wish to act on your behalf after your death. We strongly recommend storing it in a secure but accessible location — for example, with your will, in a safety deposit box, or with your solicitor.
Your Authentication Code is held securely and independently by our Solicitor Partner — an SRA-regulated practice — in their own secure vault, which AngelPass cannot access. AngelPass holds your USB Password separately. Neither party holds both elements, and neither can release the password without the other. This split-custody arrangement means that a breach of AngelPass's systems alone cannot unlock your USB drive.
If you lose your Authentication Code during your lifetime, a replacement can be issued following successful identity verification. A re-issuance administration charge will apply. The replacement code will be sent to you by post and the Solicitor Partner's records updated accordingly. Any previously issued code is immediately superseded and will no longer be accepted.
8 Your nominated person
8.1 Nominated person — optional but recommended
You may choose to register a Nominated Person with AngelPass. This is not a requirement, but we strongly recommend it. Registering a nominated person simplifies the Death Claim process considerably and provides a clear record of who you intend to receive the USB Password after your death.
On the Essential plan, up to one Nominated Person may be registered. On Premium and Family plans, up to three Nominated Persons may be registered per account holder. Additional Nominated Persons on the Essential plan may be registered for an annual fee per person.
8.2 Registering and updating your nominated person
You may register, change, or remove a Nominated Person at any time during your lifetime by contacting AngelPass by email or telephone. There is no charge for updates. Identity verification will be required before any change is made (see section 7.3).
You do not need to register a Nominated Person at the point of signup. You may add one at any time.
8.3 Your responsibilities where a nominated person is registered
Where you choose to register a Nominated Person, you are responsible for:
- Providing accurate contact details for your Nominated Person at the time of registration.
- Passing your Authentication Code to your Nominated Person and explaining what AngelPass is and what they need to do.
- Telling your Nominated Person where your USB Drive is kept.
You are not required to keep your Nominated Person's details updated with AngelPass. However, if their contact details change significantly — particularly their email address — we recommend letting us know so we can reach them efficiently when a claim is made.
8.4 Effect of registration
By registering a Nominated Person with AngelPass, you authorise AngelPass to release the USB Password to that person following a verified Death Claim. This authorisation cannot be revoked after your death. Any changes to your Nominated Person must be made during your lifetime by contacting AngelPass.
8.5 Consent of the nominated person
Where you register a Nominated Person, you confirm that you have obtained their consent to provide their personal data to AngelPass for the purpose of the Escrow Service, and that they understand their role.
9 The death claim process
9.1 Initiating a claim
Following the account holder's death, a claim for the USB Password may be initiated by contacting AngelPass via our claims process. Claims may be made by email or telephone. The claimant will need to provide the Authentication Code at the point of initiating the claim.
Two verification pathways exist depending on whether a Nominated Person was registered with AngelPass during the account holder's lifetime.
9.2 Pathway A — with a registered nominated person (standard)
Where a Nominated Person was registered with AngelPass, the following documents are required to process the claim:
- The Authentication Code issued to the account.
- A certified copy of the death certificate of the account holder.
- Government-issued photo ID of the claimant.
- Proof of address of the claimant (dated within 3 months).
Identity verification is conducted via our digital verification partner or, when AngelPass deems it appropriate and more suitable, by submission of original documents by recorded post. On Premium and Family plans, the release is additionally countersigned by our Solicitor Partner.
AngelPass will aim to complete the claim within 10–14 Working Days of receiving all required documents (Essential plan) or within 5 Working Days (Premium and Family plans), subject to satisfactory completion of all checks. Delays can happen and AngelPass will not be held responsible for any costs and grievanc, but not limited to, at any time.
9.3 Pathway B — without a registered nominated person
Where no Nominated Person was registered with AngelPass, a claim may still be made. In addition to the Authentication Code, death certificate, photo ID, and proof of address required under Pathway A, the claimant must also provide:
- A Grant of Probate or Letters of Administration confirming they are the legal executor or administrator of the estate.
This pathway takes longer to complete. AngelPass will advise on the expected timescale once all documents have been received. The waiting period under this pathway cannot be waived.
9.4 Password delivery
On successful completion of the Death Claim, the USB Password will be released to the claimant via encrypted secure message. AngelPass will not release the USB Password by unencrypted email, by telephone, or by any other method that does not meet our minimum security standard.
9.5 Disputed claims
Where AngelPass receives conflicting claims for the USB Password, or where we have reason to believe that a claim may be fraudulent or disputed, we will suspend the claim and notify all relevant parties. AngelPass will not release the USB Password until the dispute is resolved by a Grant of Probate or a court order confirming the rightful claimant. AngelPass is not liable for any delays arising from disputed claims.
9.6 Claims without the authentication code
Where a Death Claim is made without the Authentication Code — for example, because it has been lost — AngelPass may, at its discretion, process the claim via an alternative verification pathway requiring a Grant of Probate and solicitor-countersigned confirmation of identity. This pathway takes longer and involves additional documentation.
9.7 Our right to decline a claim
AngelPass reserves the right to decline a Death Claim where we have reasonable grounds to believe it is fraudulent, where required documentation cannot be verified, or where we are required to do so by law or court order. We will communicate any such decision to the claimant in writing.
10 Subscription & lapse
10.1 Renewal
Annual Subscriptions renew automatically on the anniversary of your purchase date. We will send you a renewal reminder at least 30 days in advance. Renewal will be charged to the payment method on file unless you cancel before the renewal date.
10.2 Grace period on lapse
If a Subscription payment fails or is not renewed, AngelPass will apply a grace period of 12 months before taking any irreversible action in relation to the Escrow Service. During this grace period, the USB Password remains in escrow and a Death Claim can still be processed.
We will send reminder communications during the grace period. Where possible, we will attempt to contact the account holder by both email and post. If we are unable to make contact and the grace period expires, AngelPass may destroy the escrow password records and close the account. We will make all reasonable efforts to avoid this outcome.
10.3 Death during lapse
Where an account holder dies during the grace period, a Death Claim will be processed in the normal way. A lapsed subscription will not prevent a valid Death Claim from being processed. We will not refuse a Death Claim on the grounds of a lapsed subscription.
10.4 Lifetime Plan
The Lifetime Plan is not subject to annual renewal. The Escrow Service is maintained for the lifetime of the account, subject to the business continuity obligations set out in Section 14.
11 Cancellation & refunds
11.1 Your right to cancel — cooling-off period
You have the right to cancel your order within 30 days of receiving your USB Drive and receive a full refund, including the Setup Fee, with no questions asked. This exceeds the 14-day statutory right under the Consumer Contracts Regulations 2013.
To cancel within the cooling-off period, contact us at hello@angelpass.co.uk. You must return the USB Drive to us in its original condition (you do not need to pay for return postage within the cooling-off period).
11.2 Cancellation after the cooling-off period
After the 30-day cooling-off period, you may cancel your Subscription at any time. On cancellation:
- The Escrow Service will continue until the end of your current paid subscription period.
- No refund will be given for any unused portion of the current subscription period, except as required by law.
- We will write to you confirming cancellation and asking whether you wish us to destroy or return your password records.
- You retain ownership of your USB Drive and its Contents.
11.3 Setup Fee
The Setup Fee is non-refundable after the 30-day cooling-off period, as it covers the cost of the USB Drive, its configuration, and delivery — all of which will have been fulfilled.
11.4 Lifetime Plan cancellation
The Lifetime Plan may be cancelled at any time, but no refund will be issued after the 30-day cooling-off period. On cancellation, we will destroy the escrow password records and confirm this to you in writing.
11.5 Our right to cancel
We may cancel your account and terminate these Terms immediately if you:
- Provide materially false or misleading information.
- Use the Service for any unlawful purpose.
- Engage in any conduct that we reasonably believe puts AngelPass, our Solicitor Partner, or third parties at risk.
Where we cancel for cause, we will not issue a refund of the Setup Fee. We will issue a pro-rata refund of any unused Subscription where the cancellation is not due to your breach.
11.6 Refund method
All refunds will be issued to the original payment method within 14 days of the cancellation being confirmed.
12 Your obligations
By using AngelPass, you agree to:
- Provide accurate, complete, and current information when creating your account and placing your order.
- Keep your account details, including your Nominated Person's details, up to date.
- Store your Authentication Code safely and communicate it to your Nominated Person.
- Use the USB Drive and the Service only for lawful purposes and in accordance with these Terms.
- Not attempt to circumvent, reverse-engineer, or interfere with the encryption or security of the USB Drive.
- Not store Content on the USB Drive that is itself unlawful (for example, material that is illegal to possess or distribute).
- Not attempt to access or interfere with any other customer's account or data.
- Notify us promptly of any change in your circumstances that may affect the Service — including a change of address, a change of Nominated Person, or the death of a Nominated Person.
13 Our obligations
AngelPass commits to:
- Hold your USB Password securely for the duration of your Subscription or Lifetime Plan.
- Process Death Claims fairly, consistently, and with appropriate care for the circumstances of the claimant.
- Notify you at least 30 days in advance of any material change to the Service or these Terms.
- Notify you at least 30 days in advance of any price increase.
- Operate in compliance with UK GDPR and our Privacy Policy.
- Maintain our ICO registration C1969537.
- Be transparent about any security incident that may affect your data, as required by UK GDPR.
- Maintain business continuity arrangements as described in Section 14.
14 Business continuity
This section is particularly important for customers on a Lifetime Plan or those concerned about what happens if AngelPass ceases trading.
14.1 Solicitor Partner backstop
Our Solicitor Partner holds the Authentication code of every customer under a formal Business Continuity Agreement, executed independently of AngelPass's commercial operations. In the event that AngelPass ceases trading, the Solicitor Partner:
- Retains the Authentication Code.
- Is obligated to process all outstanding Death Claims to completion.
- Is obligated to write to all living customers within 60 days of AngelPass ceasing trading to notify them and provide options for returning their password records.
14.3 Notice to customers on closure
In any planned closure, AngelPass will give customers no less than 90 days' notice. During this period, we will:
- Process all outstanding Death Claims.
- Issue all living customers with their full USB Password directly (so the escrow purpose is fulfilled on closure).
- Issue pro-rata refunds of any prepaid Subscription amounts.
- Provide details of the Solicitor Partner's continuity arrangements.
14.4 Successor arrangements
In the event of a business sale or transfer, AngelPass will seek to transfer the Service to a suitable successor on terms no less favourable to customers than these Terms. Customers will be notified and given the right to cancel and receive a pro-rata refund if they do not wish to transfer.
15 Limitation of liability
15.1 What we are responsible for
We are not responsible for losses you suffer that are caused by our breach of these Terms or our negligence, subject to the limitations below. We are not responsible for losses that are not foreseeable, losses caused by events outside our control, or losses that you could have avoided by taking reasonable steps.
15.2 Financial cap on liability
Our total liability to you in connection with these Terms and the Service — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total amount paid by you to AngelPass in the 12 months preceding the event giving rise to the claim.
15.3 Content on your drive
AngelPass accepts no liability whatsoever in relation to the Content you store on your USB Drive, including for the accuracy, completeness, currency, or legality of that Content, or for any reliance placed on that Content by your Nominated Person or any third party.
15.5 Third-party services
Our Service relies on third-party providers including AWS (cloud storage) and Thirdfort (identity verification). We are not liable for failures of those providers where such failures are beyond our reasonable control, provided we have selected and managed those providers with reasonable care. AngelPass reserves the right to change said mentioned providers at any time without giving prior notice.
16 Intellectual property
All intellectual property rights in the AngelPass website, branding, software, and service are owned by or licensed to AngelPass. Nothing in these Terms grants you any right in our intellectual property other than the right to use the Service as a customer in accordance with these Terms.
You retain ownership of all Content stored on your USB Drive. By using the Service, you do not grant AngelPass any rights in your Content.
17 Disputes
17.1 Complaints
If you have a complaint about the Service, please contact us in the first instance at hello@angelpass.co.uk. We aim to acknowledge all complaints within 2 Working Days and resolve them within 14 Working Days.
17.2 Alternative dispute resolution
If we are unable to resolve your complaint to your satisfaction, you may be entitled to use an alternative dispute resolution (ADR) scheme. Details of applicable ADR schemes will be provided on request or in our written response to an unresolved complaint.
17.3 Governing law and jurisdiction
These Terms are governed by the law of England and Wales. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that you retain any statutory rights you may have to bring proceedings in the courts of another part of the United Kingdom.
18 General
18.1 Entire agreement
These Terms, together with our Privacy Policy and any order confirmation we send you, constitute the entire agreement between you and AngelPass in relation to the Service. They supersede all prior representations, understandings, and agreements.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18.3 Waiver
A failure by AngelPass to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
18.4 Assignment
You may not assign your rights or obligations under these Terms to any third party without our prior written consent. AngelPass may assign its rights and obligations to a successor entity in the event of a business sale or transfer, subject to the notifications and customer rights described in Section 14.4.
18.5 Third party rights
These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 for any person other than the parties to this agreement, except that our Solicitor Partner has enforceable rights under the business continuity provisions of Section 14.
18.6 Force majeure
AngelPass will not be in breach of these Terms or liable for any failure or delay in performing its obligations where such failure or delay arises from causes beyond our reasonable control, including acts of God, pandemics, civil unrest, or failures of third-party infrastructure. We will notify you promptly of any such event and take all reasonable steps to minimise the impact on the Service.
19 Changes to these terms
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms or the services we provide at any time. it is your responsibility to check our website periodically for changes. If you do not agree to the updated Terms, you may cancel your Subscription in accordance with Section 11 before the changes take effect, without penalty.
Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
